- Α. The term of Board shall be five (5) Cooperative years.
- Β. The management of the Society shall vest in the Board of Directors which shall be constituted in the General Body meeting either by selection or by election. There shall be minimum 11 and maximum 21 members in the board of directors selected or elected in the general assembly. There shall be reservation of one seat for S.C/ S.T and two seats for women member. After getting approval from the concerned ARCS on the proceeding of the AGM, the first meeting of the Board of Directors shall elect or select the Chairman and Vice-Chairman. The BOD shall appoint the Secretary in terms of Bylaw 36. No person without having a class membership, without having deposit as fixed by the BOD and without completing one full term as specified in the Act shall not be eligible to be elected or selected as member of the BOD. Other matters in respect of suspension of the Board Section 125 of the Act will govern.

- Α. No person shall be eligible for election/selection to the BOD if he-
(i) Is not above the age of 21 years and he/ she must attend at least 2 AGM in
last five years.

Is paid employee of the Society or is in default the society or any other Society in respect of any loan or other dues taken by him or has a personal interest directly or indirectly in any contract mode with the Society or in the business of the Society or any auction or in any contract of the Society. Does not transact any business with the Society during the preceding year to the minimum extent prescribed by the general assembly.
- iii. Is a person against whom any arbitration proceeding is stared or pending of any dues.
- iv. If he is disqualified under any provision of the Assam Cooperative Societies Act, 2007 and Rules there under.
- Β. A member of the Board of the Society shall cease to hold his office as such if he incurs any of the disqualifications mentioned in clause 1 above.

As per Byelaw and the direction of the General Assembly all powers for execution of all works shall be vested upon the BOD.
- a. To interpret the organizational objective to set up specific goals towards achieving such objectives and to make periodic appraisal of operations.
- b. To nominate, elect or appoint and remove the Chief Executive Officer (CEO) provided he is not a government appointee.
- c. To elect the Chairman, Vice-Chairman in accordance with Assam Cooperative Act 2007.
- d. To make provisions for the matters mentioned in Section 49 of the act in respect of the staff of the cooperative society.
- e. To remove Chairman, Vice-Chairman in accordance with sub section 4 of Section 36 of the Act.
- f. To make a policy and lay down qualification and term and conditions of service for appointment of Chief Executive Officer (CEO) and other staff of the Society.
- g. To convene Annual General meeting and special General meeting in stipulated time.
- h. To appoint employees, suspend, transfer, punish and discharge of employees.
- i. To sue and be sued.
- j. To receive loan application, consider loan and to determine the terms and conditions of loan.
- k. To examine the accounts.
- l. To investigate the unrecovered loan and to take proper step for recovery of loan.
- m. To prepare annual statement of accounts.
- n. To nominate representative to other organization or to attend meeting seminar, conference etc.
- o. To make, alter, rescind or abrogate the rules from time to time.
- p. To perform all acts connected with administration, business and development of the Society.
